PricePush Affiliate Program Terms

1. About these Terms

These Affiliate Program Terms (the “Terms”) govern participation in the PricePush Affiliate Program (the “Program”), operated by Selanto Apps, a sole proprietorship of Antonio Cappiello, registered with the Dutch Chamber of Commerce (KvK) under number 75803097, VAT number (BTW-nummer) NL002467486B73, with its registered office at Nehrusingel 122, 3066 VN Rotterdam, Netherlands (“PricePush”, “we”, “us”, or “our”).

By applying to or participating in the Program (as an “Affiliate” or “you”), you agree to be bound by these Terms, by the PricePush Terms of Service and Privacy Policy, and by the LemonSqueezy affiliate platform terms applicable to the underlying payout infrastructure. If you do not agree, do not apply to or participate in the Program.

We may update these Terms at any time. Material changes will be notified to active Affiliates by email at least 14 days before they take effect. Continued participation in the Program after the effective date constitutes acceptance of the updated Terms.

2. Eligibility and approval

The Program is open to individuals or legal entities that meet all of the following conditions:

• You are at least 18 years old, or the age of majority in your jurisdiction.
• You have the authority to enter into a binding agreement.
• You are not on any sanctions list or located in a sanctioned jurisdiction under EU, US, UK, or Dutch law.
• You operate a website, newsletter, podcast, course, social media account, or other channel where you can promote PricePush in good faith to a relevant audience.
• You are applying in the course of a trade, business, craft, or profession. You represent and warrant that you are not a consumer within the meaning of EU Directive 2011/83/EU or its national implementations.

All applications are subject to manual review and approval at our sole discretion. We may approve, reject, or terminate any application or account at any time, with or without reason. Approval of one Affiliate does not imply approval of any other.

3. Commissions and attribution

The current Program structure is:

• 30% flat commission on every plan, including subscriptions and lifetime products.
• For subscription plans, the 30% applies recurringly to every renewal payment for the life of the referred customer.
• For lifetime plans, the 30% applies as a one-time commission on the purchase.
• 30-day cookie window, with last-referrer attribution.
• $25 USD minimum balance before automated payout via the LemonSqueezy affiliate platform.

Commission rates, attribution rules, payout thresholds, and eligible products may change at our discretion. Changes apply prospectively and do not affect commissions already accrued.

Commissions are calculated on the net amount actually received by us after taxes, payment-processor fees, and refunds. Where a sale is refunded, charged back, voided, or determined to be fraudulent, the corresponding commission is automatically reversed. We will first deduct the reversed amount from your accrued and unpaid commission balance. Where the unpaid balance is insufficient, the negative balance carries forward and offsets future commissions for up to 24 months. After 24 months any remaining negative balance lapses, except where the underlying transaction was the result of your fraud or material breach, in which case it remains repayable on demand.

All commissions are calculated and paid in US dollars (USD). Where a referred sale is denominated in another currency, LemonSqueezy converts the amount to USD at its published exchange rate. You bear any FX or banking costs incurred on your side. Payout cadence, holds, KYC and tax-form requirements (including W-8BEN where applicable) are administered by LemonSqueezy under its affiliate platform terms; we are not liable for delays or holds imposed by LemonSqueezy or its payment partners.

Commissions are inclusive of any VAT, sales tax, or similar charges that you may owe in your jurisdiction; PricePush does not gross up commissions for VAT or other taxes. EU-established VAT-registered affiliates may issue a reverse-charge invoice. You are solely responsible for reporting affiliate income and remitting any taxes due in your jurisdiction.

Where a referred customer changes plan (upgrade or downgrade), commissions track the customer's actual paid amount on each subsequent renewal as recorded by LemonSqueezy.

Self-referrals are not permitted. You may not use your own affiliate link to purchase PricePush, including for a company, employer, or client you control.

4. Permitted promotion

You may promote PricePush through original content on channels you own or substantially control, including:

• Reviews, tutorials, walkthroughs, and case studies on your blog, newsletter, podcast, YouTube channel, or course.
• Organic social media posts on accounts you own.
• Word-of-mouth referrals to clients or peers.
• Approved banners and creative assets provided in the LemonSqueezy Affiliate Hub.

All promotion must be truthful, not misleading, and clearly disclose the affiliate relationship in line with applicable law (including the FTC Endorsement Guides in the US, the EU Unfair Commercial Practices Directive, the Dutch Reclame Code, and equivalents in your jurisdiction).

5. Prohibited promotion methods

The following are strictly prohibited. Engaging in any of them is a material breach of these Terms and results in immediate termination and forfeiture of all unpaid commissions, in addition to any other remedies available to us:

• Brand-keyword bidding. No paid search advertising (Google Ads, Bing Ads, or any other paid search platform) bidding on PricePush brand terms, including without limitation pricepush, price push, getpricepush, trypricepush, pricepush.app, and any close variants, misspellings, or translations of the foregoing.
• Coupon, deal, cashback, and discount-code sites. No promotion via coupon directories, cashback platforms, deal aggregators, or any channel whose primary value proposition is intercepting existing purchase intent with a coupon, code, or rebate. We do not issue affiliate-specific coupon codes.
• Confusingly similar domains. No registration or use of domains, subdomains, or social handles containing “pricepush”, “price push”, or close variants.
• Trademark cloaking and impersonation. No representation that you are PricePush, Selanto Apps, or an officially endorsed reseller. No use of our logos, names, or trademarks except as expressly approved.
• Spam. No unsolicited email, SMS, instant messages, social DMs, forum posts, comment spam, or messaging-app blasts.
• Incentivized or low-quality traffic. No paid-to-click, autosurf, faucet, view-bot, click-farm, or similar traffic sources.
• Blackhat SEO. No private blog networks, link farms, doorway pages, scraped or auto-generated content, cloaking, or other techniques that violate Google's Search Essentials or equivalent guidelines.
• Cookie stuffing and forced clicks. No method that places the affiliate cookie on a user's device without that user's clear, voluntary action.
• Fake reviews and astroturfing. No fabricated testimonials, paid reviews disguised as organic, or coordinated inauthentic behavior.
• Illegal or harmful content. No promotion alongside content that is illegal, deceptive, hateful, sexually explicit, or that exploits minors.

We may, at our discretion, treat repeated minor violations as a material breach. Where the law allows, we may also seek damages for losses caused by prohibited activity, including the cost of bid-defending against brand-keyword infringement.

6. Trademarks and creative assets

We grant you a limited, revocable, non-exclusive, non-sublicensable, royalty-free license to use the PricePush name, logo, and the creative assets we provide in the LemonSqueezy Affiliate Hub, solely for the purpose of promoting PricePush in accordance with these Terms. All goodwill arising from your use of our trademarks accrues to PricePush. The license terminates automatically upon termination of your participation in the Program.

7. Term, termination, and effect

These Terms take effect when your application is approved and remain in force until terminated. Either party may terminate participation in the Program at any time, for any reason, with or without notice.

On termination:

• You must immediately stop using PricePush trademarks, logos, and creative assets, and remove your affiliate links from any property under your control within 7 days, or such longer period as we reasonably agree in writing.
• Commissions accrued in good faith on referrals made before termination remain payable, subject to the minimum payout threshold and to any deductions for refunds, chargebacks, or breach.
• No commission is deemed to have accrued on referrals procured through a material breach of these Terms (including any prohibited promotion method). Commissions tentatively credited to your LemonSqueezy balance from such referrals will be reversed.
• Sections that by their nature should survive termination (including confidentiality, indemnity, limitation of liability, and governing law) survive.

8. Independent contractor

You participate in the Program as an independent contractor. Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between you and PricePush. You have no authority to bind PricePush or to make any representation, warranty, or commitment on PricePush's behalf. You are solely responsible for your own taxes, social charges, and business registrations arising from any commissions you receive.

9. Confidentiality

The Program may give you access to non-public information about PricePush, including referral data, conversion metrics, and roadmap discussions. You agree to keep such information confidential and to use it only for the purpose of promoting PricePush under these Terms.

10. Disclaimers and limitation of liability

The Program is provided “as is” and “as available”. PricePush makes no warranty regarding the Program, the underlying tracking platform, the volume of referrals you may generate, or the income you may earn. Earnings depend on factors outside our control, including the quality and reach of your channel and the conversion of referred customers.

To the maximum extent permitted by law, our aggregate liability arising out of or related to these Terms or the Program is limited to the total commissions paid to you by us in the 12 months preceding the event giving rise to liability, or EUR 100, whichever is greater. We are not liable for indirect, incidental, consequential, special, or exemplary damages, including lost profits or lost opportunities. Nothing in these Terms limits liability that cannot be limited under applicable law (including for fraud, gross negligence, or wilful misconduct).

Nothing in this Section 10 excludes or limits any liability that cannot be excluded or limited under mandatory Dutch or EU consumer law, including liability for intent (“opzet”) or wilful recklessness (“bewuste roekeloosheid”), and (where you qualify as a consumer despite the eligibility requirement in Section 2) for breach of mandatory consumer rights.

11. Indemnity

You agree to indemnify, defend, and hold harmless PricePush (operated by Antonio Cappiello h.o.d.n. Selanto Apps) and any of his agents, contractors, advisors, employees, family members, and successors-in-interest (collectively, the “Indemnified Parties”) against any third-party claims, losses, costs, and expenses (including reasonable legal fees) arising out of (a) your breach of these Terms, (b) your promotional activities, including any content you publish in connection with the Program, or (c) your violation of any law or third-party right.

12. Data protection

Personal data you provide as part of the Program (such as your name, email address, payment details, and traffic data) is processed in accordance with our Privacy Policy, on the legal basis of performance of these Terms (Art. 6(1)(b) GDPR) and our legitimate interest in operating and protecting the Program (Art. 6(1)(f) GDPR).

13. Governing law and disputes

These Terms are governed by the laws of the Netherlands, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods. Any dispute arising out of or related to these Terms will be submitted to the exclusive jurisdiction of the competent courts in Rotterdam, the Netherlands.

Where, despite the eligibility requirement in Section 2, you qualify as a consumer under mandatory EU or Dutch consumer law, you may also bring proceedings in the courts of your country of residence, and you benefit from any mandatory consumer protections under the law of that country that cannot be derogated from by agreement (including under Brussels I Recast Regulation (EU) 1215/2012 Articles 17–19 and Rome I Regulation (EC) 593/2008 Article 6).

14. Miscellaneous

• Entire agreement. These Terms, together with the documents they reference, constitute the entire agreement between you and PricePush in relation to the Program and supersede any prior arrangement.
• Severability. If any provision is held unenforceable, the remaining provisions remain in full force and effect.
• No waiver. Failure to enforce any provision is not a waiver of our right to enforce it later.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a sale, merger, or reorganization of our business.
• Notices. Notices to PricePush must be sent to support@pricepush.app. Notices to you will be sent to the email address on file for your affiliate account.
